Welcome to the services of PhygitalBridge ("we," "us," "our"). We are a company incorporated under the laws of Quebec (17387938 Canada Inc.), with our head office at 1590 Richelieu, Beloeil, Quebec, J3G 4S1, Canada. PhygitalBridge offers a SaaS (Software as a Service) platform that connects Businesses, Affiliates, and Customers through referral-based Offers and tracks leads and sales in real time (collectively, the "Services").
By accessing or using our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
1. Language of the Terms
These Terms and Conditions are drafted in French. An English translation is provided for your convenience. In case of any discrepancy or conflict between the French version and any translated version, the French version shall prevail and be authoritative.
2. Definitions
- Platform: The PhygitalBridge website, software, and services.
- Software as a Service (SaaS): The software delivery model where PhygitalBridge hosts the application and makes it available to its users over the Internet.
- Services: Refers to all features, modules, and the SaaS platform provided by PhygitalBridge, including any related documentation, updates, and technical support.
- User / You: Any person or entity that accesses or uses the Services of PhygitalBridge.
- Customer: An individual interacting with a Business through an Offer on the Platform.
- Business: A company or service provider offering goods or services through the Platform.
- Affiliate: An individual or organization promoting Offers and generating referrals.
- Offer: A promotional opportunity created by a Business and distributed through the Platform.
- Referral: A Customer interaction generated through an Affiliate link, card, code, or promotion.
- User Content: The data, information, text, images, or any other material that you or your end-users submit, upload, or transfer into the Services.
- Phygital Asset: A physical product linked to or enhanced by digital elements managed through the Services.
- Subscription: The service plan or commercial agreement entered into between you and PhygitalBridge that defines the specific Services, duration, and applicable fees.
3. Access and Use of the Services
3.1. Eligibility
To use our Services, you must be at least 18 years of age or have legal authority to enter into a binding contract in your jurisdiction. If you are using the Services on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.
3.2. Subscription
Access to and use of our Services are generally based on a Subscription. The details of your Subscription (scope of services, fees, duration) will be defined in a separate subscription agreement, order form, or via the pricing displayed on our platform.
3.3. Account Access
To access the Services, you may need to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
3.4. SaaS Use License
Subject to your compliance with these Terms and the payment of applicable Subscription fees, PhygitalBridge grants you a limited, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services for the duration of your Subscription. This license is intended for your internal operations and for the purposes for which the Services are provided.
3.5. Use Restrictions
You must not, and will not permit any third party to:
- Sell, resell, rent, lease, distribute, or otherwise commercially exploit the Services.
- Modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Services.
- Use the Services to store or transmit infringing, libelous, or otherwise unlawful material, or material that violates third-party privacy rights.
- Interfere with the performance or integrity of the Services.
- Attempt to gain unauthorized access to the Services or their related systems or networks.
- Manipulate referral tracking, generate fake referrals, self-referrals, or automated traffic.
- Use the Services in violation of any applicable law or regulation, including privacy and export laws.
4. Description and Role of the Platform
PhygitalBridge is a technology platform connecting Businesses, Affiliates, and Customers. The Platform allows Businesses to create Offers, Affiliates to promote Offers, and Customers to discover and request services. PhygitalBridge acts solely as a technology intermediary and does not provide, guarantee, or warrant the quality of services offered by Businesses. Service agreements occur directly between Customers and Businesses.
5. User Content and Data Ownership
5.1. Ownership of User Content
You retain all rights, title, and interest in and to your User Content that you submit, upload, import, or transfer into the Services.
5.2. License of User Content to PhygitalBridge
You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and use your User Content solely to the extent necessary to provide, maintain, and improve the Services to you. This license also extends to the creation of aggregated and anonymized data for analysis and improvement of the Services, without identifying your specific data.
5.3. Responsibility for User Content
You are solely responsible for the accuracy, quality, integrity, legality, and compliance of your User Content. PhygitalBridge is not responsible for the deletion, correction, destruction, damage, loss, or failure to store any User Content.
6. Offers, Referral Programs, and Commissions
6.1. Offers
Offers are created by Businesses and distributed through the Platform. Offers may be modified, suspended, or removed at any time by the Business or the Platform.
6.2. Commissions and Rewards
Affiliates may receive commissions or rewards for valid referrals. Commission structures are defined by the Business creating the Offer. Commission triggers may include lead generation, sale completion, payment receipt by the Business, or completion of services. Participation in the Platform does not guarantee income or referrals.
6.3. Payment Responsibility
PhygitalBridge does not process, hold, collect, or distribute payments between Businesses and Affiliates. All commissions are the sole responsibility of the Business that created the Offer. Businesses may fulfill payments through direct payment, digital transfers, or third-party reward platforms. Any dispute regarding commissions must be resolved directly between the Business and the Affiliate.
6.4. Non-Circumvention
Businesses and Affiliates agree not to bypass the Platform to avoid referral tracking or commissions. PhygitalBridge may suspend accounts or pursue damages if circumvention occurs.
7. Intellectual Property
All rights, title, and interest in and to the Services (including, but not limited to, the software, code, interfaces, designs, text, graphics, logos, trademarks, and digital assets not specific to a client), and any intellectual property associated therewith, are the exclusive property of PhygitalBridge or its licensors. These Terms do not grant you any ownership rights in the Services, but only a limited right of use in accordance with your Subscription.
8. Personal Information Protection and Law 25
8.1. Our Commitment to Your Privacy
At PhygitalBridge, we are committed to protecting personal information. We strictly comply with Quebec's Act respecting the protection of personal information in the private sector (CQLR c P-39.1, commonly known as "Law 25"), PIPEDA, and other applicable Canadian privacy laws.
8.2. Roles
You generally act as the "controller" and PhygitalBridge as the "processor" of personal information you process through our Services. We will process such data only according to your documented instructions, including those in these Terms and our Privacy Policy. Customer information may be shared with Businesses when necessary to fulfill service requests. Affiliates generally do not receive Customer contact information unless explicitly authorized by the Customer.
8.3. Privacy Policy
Our collection, use, and disclosure of personal information is governed by our Privacy Policy. We strongly encourage you to read it carefully.
8.4. Consent
We obtain required consent in accordance with Law 25 for information we control. For User Content, you are responsible for obtaining consents from the individuals concerned.
8.5. Individual Rights
Law 25 grants individuals rights such as access, rectification, portability, and de-indexing. You are responsible for handling such requests from your end-users. We will assist as detailed in our Privacy Policy.

9. Fees and Payment
9.1. Payment Terms
You agree to pay all fees associated with your Subscription and use of the Services in accordance with the payment terms specified.
9.2. Billing
Fees are billed in advance and are exclusive of taxes unless otherwise stated.
9.3. Taxes
You are responsible for paying all applicable taxes including GST and QST.
10. Disclaimer of Warranties and Limitation of Liability
10.1. Disclaimer of Warranties
The Services are provided "as is" and "as available" without warranties of any kind, express or implied. PhygitalBridge is not liable for disputes between Customers and Businesses, service quality issues, or loss of revenue.
10.2. Limitation of Liability
PhygitalBridge is not liable for indirect or consequential damages. For non-consumer users, liability is limited to the lesser of the amount paid in the past 12 months or CAD $500.
10.3. Quebec Consumer Protection Act
Nothing in these Terms limits legal rights granted to Quebec consumers under the Consumer Protection Act.
11. Indemnification
You agree to indemnify and hold harmless PhygitalBridge against any claims, damages, or expenses arising from your use of the Services, breach of these Terms, misuse of the Platform, or User Content submitted.
12. Independent Contractor Status
Affiliates participate as independent contractors and are responsible for their own taxes, insurance, and regulatory compliance. Affiliates are not employees, agents, or partners of PhygitalBridge.
13. Suspension and Termination
13.1. Term
These Terms remain in effect while you use the Services or maintain a Subscription.
13.2. Termination by PhygitalBridge
We may suspend or terminate access without notice for breaches of these Terms, fraud, inactivity, or legal obligations. Prepaid fees are non-refundable.
13.3. Effects of Termination
Access ends immediately upon termination. User Content may be deleted unless otherwise agreed in writing.
14. Modifications to the Terms and Platform
We may update these Terms with at least 30 days' advance notice. Continued use of the Services after changes implies acceptance. PhygitalBridge may also modify or discontinue Platform features, Offers, commission structures, or affiliate participation at any time.
15. Governing Law and Dispute Resolution
15.1. Governing Law
These Terms are governed by the laws of the Province of Quebec and applicable Canadian federal law.
15.2. Dispute Resolution
Disputes will be resolved exclusively in the courts of Quebec, judicial district of Longueuil. In case of discrepancies between translated versions of these Terms, the French version prevails unless otherwise required by law.
16. Miscellaneous
16.1. Entire Agreement
These Terms, our Privacy Policy, and any related policies form the full agreement between you and PhygitalBridge and supersede any prior agreements.
16.2. Non-Waiver
Failure to enforce any provision does not waive our right to do so in the future.
16.3. Severability
If any part of these Terms is found unenforceable, the remainder continues in full force.
16.4. Assignment
You may not assign these Terms without our prior written consent. PhygitalBridge may assign them freely.
